Under the direction of partners, operate as a mid-level associate within the firm's Investment Funds group. Advise investment managers on the offering, formation, and regulatory compliance of private investment funds. Advise institutional investors and secondary funds on investments in private funds and secondary transactions. Advise investment managers on the launch and operation of registered funds and their ongoing compliance with the securities laws. Negotiate, draft, and review fund documents including PPMs, LPAs, subscription agreements, side letters, and other related agreements. Draft, review, and oversee SEC filings, including open- or closed-end fund registration statements, supplements, shareholder reports, and other regulatory filings. Prepare fund organizational materials for board meetings. Provide guidance and mentor junior associates and support staff, including on deal flow and client deliverables. Participate in client meetings and efforts to grow and expand the practice through cross-marketing and other new business initiatives. Must have a JD and 3 years' experience as an Associate, Mid-level associate, or Junior Associate in Investment Funds. Must be admitted to practice law in the state of New York. Must have experience in each of the following: 1. Advising alternative investment managers on the offering and formation of private equity funds, hedge funds, private credit funds, hybrid funds and single investor funds in the US, Cayman Islands and EU, and compliance with the Securities Act, 1940 Act and Advisers Act; 2. Negotiating, drafting and reviewing complex fund documents, including term sheets, PPMs, LPAs, subscription agreements, management agreements and side letters, and advising on bespoke fund terms, including subscriptions, withdrawals, incentive allocations, distribution waterfalls and GP clawbacks; 3. Advising institutional investors, including sovereign wealth funds and pension funds, as well as secondaries funds, on commitments to private closed-end funds and the acquisition and sale of secondary interests; 4. Advising investment managers on the launch and operation of registered open-end and closed-end funds, including ETFs, and ongoing legal and regulatory compliance with the securities laws, including the 1940 Act; and 5. Drafting and reviewing SEC filings, including N-1A/N-2 registration statements, prospectus supplements and shareholder reports, and preparing fund organizational materials for board meetings.
